Articles of Cooperation & By-Laws

Know All Men By These Presents:

We, Overseas Filipino Workers (OFW) in Riyadh, Kingdom of Saudi Arabia, voluntarily entered into an organization for the purpose of unity, cooperation and adopting a common stand on all issues affecting the OFW’s, especially in the promotion of interest and welfare of Filipino Workers and their beneficiaries.

And We Hereby Declare:

Article 1
NAME/SEAL/OFFICES


Sec.1 Name. The group shall be called Kalipunang Kaakabay ng Manggagawang
Pilipino sa Saudi Arabia , hereinafter referred to as KAKAMPI-KSA.

Sec. 2 Seal. KAKAMPI-KSA shall have an official seal to be used in all legal correspondence and documentation. It should symbolize unity and understanding. It’s colors are red, yellow, blue and white, reflective of the Philippine flag.

Sec. 3. Offices KAKAMPI-KSA shall have an office in Industrial City-Riyadh, Kingdom of Saudi Arabia where the President and other officers shall meet and transact business. However the permanent Headquarters shall be located in Manila, Philippines.


Article 2
PURPOSE/OBJECTIVES

Sec. 1 The purpose of KAKAMPI-KSA shall be to unite and form a strong, solid, cohesive and efficient body in the pursuit of the following objectives.

1. General Objectives:

1.1 To promote brotherhood and mutual cooperation among Overseas Filipino Workers in the part of Industrial City-Riyadh Saudi Arabia.
1.2 To work with the Government for the protection and welfare of Overseas Filipino Workers (OFW) and their beneficiaries. As such,
KAKAMPI-KSA shall (i) actively participate in shaping government policies and programs towards OFW, and support their implementation; (ii) help protect dignity and integrity of OFW’s, and defend their constitutional and human rights; (iii) promote and support OFW investments and reintegration programs.

1.3 To support the promotion of global environment protection and eco-tourism programs of government and non-government organizations.

1.4 To establish linkages with national and international bodies whose objectives are parallel with those of KAKAMPI-KSA.


2. Specific Objectives:

2.1 To review and advocate changes in the Migrant Workers Act, and its effective implementation.

2.2 To review and recommend changes to the charter and structure of OWWA in response to the needs of its members.

2.3 To review, study and recommend OFW social welfare benefits such as health and insurance, education and training, out of work pension plan, housing and retirement.

2.4 To study and propose reintegration programs particularly on investments and entrepreneurship.



Article 3
MEMBERSHIP

Sec. 1. Membership.

All Overseas Filipino Workers in this part of 1st,2nd & 3rd Industrial City of Riyadh, or any qualified OFW outside from the Industrial Area, regardless of its belief or affiliation to other organization, may join KAKAMPI-KSA.

Sec. 2. Qualification.

OFW that may join KAKAMPI-KSA is a valid holder of Philippine passport and a legitimate worker in the Kingdom and shall have Filipino Democratic ideals and principles.

Sec 3. Disqualification.

An OFW who is proven to have engage in illegal activities.

Article 4
OFFICERS/WORKING COMMITTEES

Section 1. Powers/Authority.

The Officers and the Working Committees shall have the following powers and authorities:

1.1 Formulate and implement plan and programs, and oversee activities related thereto;
1.2 Review, deliberate, and decide on the course of action on issues affecting Overseas Filipino Workers.
1.3 Formulate and/or amend rules and regulations of the organization as may deemed necessary.

Sec. 2. Composition.

2.1 Upon convening of its first session or in the course thereof, the members shall formally organized and elect among themselves the President, Internal Vice President and External Vice President, Treasurer, Auditor, Sergeant at Arms.

2.2 Upon election of Officers, the President has the sole prerogative to appoint the Chairman of the Working Committees and the Office of the Secretariat.

2.3 The Officers and members of the Committees shall be entitled to one voting rights in case of voting and division of the house for a certain measures taken in a Special Meeting called by the President or the Chairman of a particular Committee.

2.4 The manner of selecting the representative in times of representation in a meeting called upon by any government institution, other organization shall be the sole prerogative of the President or the Chairman of the Working Committee.

Article 5
THE WORKING COMMITEES

Sec. 1. Functions

Working Committees shall be created to research, plan, and/or evaluate proposals presented to the President and to recommend courses of action for approval.

Sec 2. Compositions

A committee shall be composed of a Chairman, a secretary, and at least two (2) members.

Sec 3. Permanent Committees shall be as follows:

3.1 Membership and Education
3.2 Information and Communication
3.3 Social Welfare and Protection
3.4 Trade & Investments
3.5 Political and Legal Affairs
3.6 Ways and Means
3.7 Ethics, Grievance, and Reconciliation
3.8 Culture and Sports
3.9 Environment and Eco-Tourism.


Sec. 4 Special Committees.

The President shall create special Committees as required in the pursuit of KAKAMPI-KSA’s objectives.


Article 6
OFFICE OF THE SECRETARIAT

Sec. 1. Functions.

The Secretariat shall have the following functions.

1.1 To record the minutes and transactions of all meetings of the Officers and to maintain minute books of such meeting in the form and manner prescribed by the President.

1.2 To keep record books showing the names and addresses, resume of the officers and members, the names and officers of the organization.

1.3 To keep all agreements, covenants, appointment papers and other documents signed by KAKAMPI-KSA.

1.4 To serve all notices of the President and Officers.

1.5 To perform other duties as may be assigned by the President.


Article 7
MEETINGS

Section. 1. Annual Meeting.

The annual meeting of the Officers and the Chairman of each Working Committees of the organization shall be held on the Second Friday of December at a place designated by the President.

Section 2. Regular Meeting.

The regular meetings of the Officers and the Chairman of the Working Committees of the organization shall be conducted every 1st Friday of each month and shall be held at a place and time designated by the President.

Section 3. Special Meetings.

The special meetings, for any purpose may at any time be called by the President.

Section 4. Committee Meetings.

The Working Committee meetings may at any time be called by 1) Committee Chairman, 2) written request by the majority of the Committee members and 3) by the President.

Section 5. Notice of Meetings.

Notice for annual, regular and special meetings may be sent by the Secretary by mail, e-mail or personal delivery one week prior to the date of the meeting. The notice shall state the place, date and hour of the meeting and the purpose for which the meeting is called. Notices for Committee meetings may be sent by the Committee Secretary.

Section 6. Quorum.

In all regular or special meetings may it be the Officers or the Committee, a simple majority (50%+1) of the total membership must be present to constitute a quorum. If no quorum is established, the meeting shall be adjourned and reset accordingly.

Section 7. Conduct of the Meeting.

The President shall preside over the Officers Meeting. In his absence or incapacity, the Vice President-Internal Affairs shall preside. In their absence, the Vice-President External Affairs shall preside. The Secretary shall act accordingly in every meeting and in his absence, the chairman of the meeting shall appoint one.

Section 8. Manner of Voting.

All resolutions, decisions, actions and the election of Officers of the organization shall be voted upon by the officers or by General Membership called by the President for the mentioned purpose by simple (50%+1 through secret balloting).

Article 8
OFFICERS

Section 1. President of the Organization.

The President of the Organization shall be the highest executive official of KAKAMPI-KSA and shall exercise the following function:

1.1 To manage the affairs of KAKAMPI-KSA

1.2 To preside the Meetings of Officers and Chairman of Committees.

1.3 To represent KAKAMPI-KSA in all functions and proceedings.

1.4 To prepare Agenda and Programs of the Organization.

1.5 To oversee the implementation and progress of plans and programs in line with the objectives set by the Organization.

1.6 To serve as an official spokesperson of KAKAMPI-KSA.

1.7 To sign agreements, covenants and other documents on behalf of KAKAMPI-KSA subject to the approval of the majority of the General Membership, Officers and the Chairman of each Committees.

1.8 To appoint, remove, suspend or discipline staff of the organization, prescribe their compensation, if any.

1.9 To appoint other officers as deemed necessary or proper from within or outside the organization. He may also hire professional like external auditors, lawyers, economist and lobbyist to represent KAKAMPI-KSA.

1.10 To delegate some of the duties and functions as deemed necessary.

1.11 Perform such other duties as are necessary and proper to the efficient execution of his office or may be entrusted to him by the General Membership.

Section 2. The Vice President (Internal Affairs)

The Vice President – Internal Affairs is the second highest executive official of the organization and shall exercise the following functions;

2.1 He shall act as President in the absence of the President.

2.3 He shall have such powers and duties as may from time to time be assigned to
him by the President in the Internal affairs of the organization.

Section 3. The Vice President (External Affairs)

3.1 He shall act as President in the absence of the President and the Vice President for Internal Affairs.

3.2 He shall have such powers and duties as may from time to time be assigned to
him by the President in the external affairs of the organization.

Section 4. Treasurer.

The Treasurer shall have the following duties:

4.1 To keep full and accurate accounts of receipts and disbursements in the books of KAKAMPI-KSA.

4.2 To have custody of, and be responsible for all funds of KAKAMPI-KSA.

4.3 To prepare and submit monthly statements showing the financial condition of KAKAMPI-KSA.

4.4 To perform other duties as may be assigned to him by the President.


Section 5. Auditor.

The Auditor shall have the following functions:

5.1 Pre-audit all disbursements of SR 1,000 or more.

5.2 Conduct post Audit of disbursement below SR 1,000

5.3 Verify the accuracy of all receipts, and attest to the fairness of financial reports prepared by the Treasurer.

5.4 Coordinate the conduct of annual external audit.

5.5 To perform other duties as may be assigned to him by the President.

Section 6. Sergeant-at-Arms

The Sergeant-at-arms shall maintain the peace and order during sessions of the General Membership Meeting, meeting of Officers and other activities of KAKAMPI-KSA. He may deputize persons to assist in carrying out his duties.


Section 7. Term of Office

The Term of Office of all elective officers in KAKAMPI-SA shall be one (1) year.

Article 9
REMOVAL from OFFICE/IMPEACHMENT

Section 1. Elected officials maybe removed from office at any regular or special
meeting of the Officers or General Membership Meeting called by the
President due to loss of confidence, by 2/3 votes of the majority
present.

Section 2. The Officers or the General Membership Meeting shall immediately elect the replacement of any impeached officer. Such elected replacement officer shall serve only the remaining term of the replaced officer.


Article 10
FUNDS

Section 1. For the purpose of covering operational and general expenses, each members shall contribute regularly to the organization.

1.1 Each members shall contribute SR 15.00 yearly.

1.2 KAKAMPI-KSA may accepts funds in the form of donations or contributions from any individual and entities.

1.3 KAKAMPI-KSA may launch fund raising activities and projects.

Article 11
NATIONAL & INTERNATIONAL ALLIANCES

Section 1. KAKAMPI-KSA shall enter into an alliance with organization within
the Kingdom of Saudi Arabia to form a National Assembly.
Section 2. KAKAMPI-KSA shall recommend to the National Assembly to enter an alliance with other national assemblies in other countries to form an
International Assembly. The International Assembly shall act as the
coordinating body of all assemblies worldwide, and shall be based in
Manila, Philippines.

Section 3. KAKAMPI-KSA shall likewise recommend to the National Assembly that regional assemblies hold an annual convention one month before the International convention. The international annual convention shall be held in Manila, Philippines on the last week of April.

Section 4. KAKAMPI-KSA shall strive to join other national and international
organizations, whose objectives are parallel with those of KAKAMPI-
KSA.

Article 12
PENALTY CLAUSE

Section 1. Penalty Clause.

The General Membership including the officers and staff shall be liable for acts inimical to the organization, and shall be held responsible civilly and/or criminally. KAKAMPI-KSA may file civil and/or criminal action for the following acts:

1.1 Malversation of funds and properties
1.2 Misrepresentation

Article 13
AMENDMENT CLAUSE


Section 1.Amendment

These Articles of Cooperation and By-Laws may be amended, in part or in full, by 2/3 votes of the majority present during the General Membership Meeting.


Article 14
ADOPTION CLAUSE

Section 1. Adoption

These Articles of Cooperation and By-Laws shall be ratified by the founding members during the meeting called for that purpose. Its adoption shall be effective immediately upon ratification.

IN WITNESS WHEREOF, WE, the undersigned founding members of KAKAMPI-KSA, in favor of the adoption of the foregoing Articles and By-Laws, have hereinto subscribed our names, this 11th day of October 2002 at Industrial City, Riyadh, Kingdom of Saudi Arabia.
